一、总则
欢迎使用由 YES AUCTIONS(YES拍卖) 在纽约运营的在线拍卖平台及相关服务(以下称“本平台”或“我们”)。在您访问或使用本平台及其服务(以下统称“服务”)之前,请务必仔细阅读并理解本《用户条款》(以下称“本条款”)。您一旦注册、登录或使用本平台,即表示您已阅读、理解并完全同意受本条款的约束。
二、公司角色说明
YES拍卖同时以拍卖公司(Auction House)和在线平台运营者(Platform Operator)身份开展业务。在特定交易中,若本公司为委托人或拍卖方,则视为卖方;在其他情况下,本公司仅作为第三方卖方与买方之间的中介平台提供服务。
三、定义
- “用户”指注册或使用本平台的个人或机构。
- “买方”指在拍卖中成功取得拍品的出价者。
- “卖方/委托方”指通过本平台上架拍品并在成交后转移所有权的一方。
- “拍品”指在本平台拍卖或展示的任何物品(含实物、版权项下的利益等)。
四、适用资格
除非法律另有规定,使用本平台的用户须年满18周岁并具备完全民事行为能力。代表法人、机构或未成年人注册或以不正当方式使用本平台的行为,均由注册人自行承担全部责任,本公司有权拒绝或终止其账户及服务。
五、账户、注册与安全
- 1) 用户在注册时应提供真实、完整、准确的资料,并在信息发生变更时及时更新。
- 2) 用户应妥善保管账户名和密码,对通过该账户发生的所有行为承担全部责任。如发现账户被盗用或异议,应立即通知本公司。
- 3) 本公司有权为保证平台安全而对账户采取限制、冻结、删除等措施,并可向司法机关报告涉嫌违法行为。
六、拍卖规则与出价
- 1) 本平台拍卖方式、竞价规则、延时规则、起拍价、加价幅度等以当场公告或拍品目录为准。
- 2) 用户的每次出价在被平台记录时即视为具有法律约束力,不得撤销,除非平台另行书面说明或出现系统故障并被平台取消。
- 3) 拍卖结束时的最高出价者为中标人(买方)。
- 4) 如发生技术故障、网络中断、数据错误或其他不可抗力情形,本公司有权取消、撤销或重新进行拍卖,并不因此对任何用户承担责任。
- 5) 明示或暗示的“刷单”、“佣金投标”(shill bidding)或以任何方式操纵竞拍秩序的行为严禁,一经发现本公司可立即取消其出价并对相关账户采取限制措施,必要时追究法律责任。
七、成交、支付与费用
- 1) 中标后买方应在本平台或拍卖公告规定的期限内完成全部款项支付(通常不超过48小时),包括但不限于成交价、买方佣金(Buyer’s Premium)、税费及其他应付费用。
- 2) 买方未按期付款的,本公司有权取消成交、没收保证金(如适用)、禁止竞拍并追究违约责任。
- 3) 卖方应确保所提供的收款信息真实、可用。本公司可在合法合规的范围内代收代付并按本公司与卖方约定结算佣金或费用。
八、所有权转移及交付
- 1) 除另有书面约定外,拍品所有权在买方完成全部付款并满足本平台要求后转移。风险转移规则以拍卖公告或双方书面约定为准。
- 2) 运输、装卸、保险及相关费用一般由买方承担,特殊情况以拍品页面或销售合同为准。
- 3) 因运输、清关等第三方行为导致的丢失或损坏,本公司在无故意或重大过失情况下不承担赔偿责任。
九、卖方保证与委托
- 1) 卖方承诺其对拍品拥有合法处分权、拍品来源合法且不存在未披露的权利瑕疵(包括质押、抵押、权属争议等)。
- 2) 卖方应对拍品描述、来源、年代、材质、尺寸等信息的准确性负责,并对虚假或重大遗漏承担相应责任。
- 3) 如因卖方违反前述保证导致纠纷,卖方应负责赔偿本公司及受影响的第三方因此受到的全部损失(含合理律师费)。
十、平台角色与免责声明
- 1) 当本公司仅作为平台运营方时,仅为买卖双方提供交易场所与技术支持,不对第三方委托人所提供信息之真实性、完整性承担实质性保证,但对于本公司自身委托或声明之事项除外。
- 2) 本公司对但不限于拍品的真伪、估价、保存状况、艺术价值或法律状态不作明示或默示的保证,除非在拍品说明中有书面且明确的保证条款。
十一、知识产权
本平台上的所有内容(包括文字、图片、设计、页面布局及源代码等)之著作权及其他知识产权归本公司或相应权利人所有。未经本公司或权利人明确书面许可,任何人不得复制、传播或以商业目的使用上述内容。
十二、禁止行为
用户不得利用本平台从事任何违法或侵权行为,包括但不限于欺诈、洗钱、操纵市场、侵犯他人隐私或知识产权等。对严重违反本条款者,本公司保留追究其民事及刑事责任的权利。
十三、赔偿
用户同意就因其违反本条款、使用本平台或其发布内容所引起的任何索赔、损失、责任、费用(含合理律师费)对本公司及其关联方进行赔偿并使其免受损害。
十四、责任限制
在任何情形下,本公司对用户因使用或无法使用本平台而产生的一切损失(无论合同、侵权或其他法律依据)所承担的累计责任,不得超过用户就涉及该项交易实际向本公司支付的金额;如未产生支付,则以本公司酌情认定的合理限额为准。
十五、隐私与数据
本平台的个人信息收集、使用与保护规则另见《隐私政策》。用户同意本公司按照隐私政策的约定收集与处理您的信息。
十六、适用法律与争议解决
本条款受美国纽约州法律管辖(不包括法律冲突规则)。因本条款引起的或与之相关的任何争议,双方应首先协商解决;协商不成的,提交至位于纽约郡(New York County)的美国仲裁协会(AAA)按其仲裁规则进行有约束力的仲裁。仲裁裁决为终局并对双方具有约束力。
十七、条款修改
本公司可随时修改本条款,修改后的条款将在本平台发布并自公布之日起生效。如改动对用户具有重大不利影响,本公司将在合理位置提示或另行以电子邮件通知受影响用户。
十八、账户终止
如用户违反本条款或适用法律,或本公司认为其行为有损平台安全与秩序,本公司可暂停、限制或终止其账户并保留采取进一步法律措施的权利。

1. Introduction
Welcome to the online auction services provided by YES AUCTIONS, a company organized in New York, United States. These Terms and Conditions ("Terms") govern your access to and use of our website located at tqtauc.com and related services (collectively, the "Services"). By registering, accessing or using the Services, you agree to be bound by these Terms.
2. Company Role
YES AUCTIONS operates both as an auction house and as an online platform operator. In certain transactions, the Company may act as the consignor or seller; in other cases, the Company merely provides the platform where third-party consignors and buyers transact.
3. Definitions
- "User" means any individual or entity who registers for or uses the Services.
- "Buyer" means the winning bidder of an auction lot.
- "Seller" or "Consignor" means the party offering an item for sale through the Services.
- "Lot" means any item, work, or interest offered for sale via the Services.
4. Eligibility
To use the Services, you must be at least 18 years old and legally capable of entering into binding contracts. Accounts created on behalf of corporations or organizations must be registered by persons authorized to bind such entities.
5. Account Registration and Security
- Users must provide accurate, current and complete information during registration and keep such information up to date.
- Users are responsible for maintaining the confidentiality of their account credentials and for all activities that occur under their account.
- Users must notify the Company immediately of any unauthorized use of their account.
6. Auction Procedures and Bidding
- The specific auction format, bidding increments, start and end times, and other applicable rules will be published in the auction catalog or on the lot page.
- Each bid submitted through the Services is a legally binding offer and cannot be withdrawn unless the Company expressly permits withdrawal or cancels the lot.
- The highest conforming bid at the close of the auction shall be the winning bid.
- The Company reserves the right to cancel, withdraw, or reschedule any auction or lot in the event of technical problems, force majeure, or other circumstances affecting the integrity of the auction.
- Shill bidding, bid manipulation, and other fraudulent conduct are strictly prohibited. The Company may take remedial measures including cancelling bids and suspending or terminating accounts, and may pursue legal remedies.
7. Payment, Fees and Commissions
- Unless otherwise stated, the winning bidder must remit payment within the timeframe specified on the invoice or lot terms (typically within 48 hours).
- Payment comprises the hammer price plus any buyer's premium, applicable taxes, and other charges specified at the time of sale.
- Failure to pay may result in cancellation of the sale, forfeiture of deposit, account restrictions, and claims for damages.
- The Company may collect payments on behalf of sellers and will settle with consignors according to the seller agreement.
8. Title Transfer and Shipping
- Title to a lot passes to the buyer only after full payment has been received by the Company (or as otherwise agreed in writing).
- Unless otherwise specified, shipping, insurance and handling costs are the buyer’s responsibility.
- The Company is not liable for loss or damage arising during shipment by third-party carriers, except to the extent the Company has expressly agreed in writing to arrange such shipping services and assumes liability.
9. Seller Warranties and Consignments
- Sellers warrant that they have good and marketable title to the lots and that the lots are free of liens, encumbrances or undisclosed restrictions.
- Sellers are responsible for the accuracy of descriptions, provenance statements and condition reports, and shall indemnify the Company and buyers for losses arising from breaches of those warranties.
- Where the Company itself is the consignor or seller, the Company shall assume the seller’s responsibilities for such lots.
10. Platform Role and Disclaimers
When acting solely as a platform operator, the Company provides technological and administrative services and does not guarantee the authenticity, provenance, condition or legal status of third-party consignor lots, unless expressly stated otherwise in writing. For lots sold by the Company as consignor or owner, the Company’s own warranties, if any, shall be stated in the lot description.
11. Intellectual Property
All content on the Services, including text, images, designs and software, is protected by intellectual property laws and is owned or licensed by the Company. No portion of the Services may be reproduced or used for commercial purposes without prior written consent.
12. Prohibited Conduct
Users shall not use the Services for unlawful purposes, money laundering, bid manipulation, misrepresentation, or any activity that interferes with the operation of the Services. The Company reserves the right to suspend or terminate accounts and to report suspected illegal activities to law enforcement authorities.
13. Indemnification
Users agree to indemnify and hold harmless the Company and its affiliates from any claim, liability, loss, damage or expense (including reasonable attorneys' fees) arising from the user’s breach of these Terms, misuse of the Services, or violation of applicable law.
14. Limitation of Liability
To the fullest extent permitted by law, the Company's aggregate liability for any claim arising out of or relating to these Terms or the Services shall not exceed the amount actually paid by the user to the Company with respect to the transaction giving rise to the claim. The Company shall not be liable for consequential, incidental, special, or punitive damages.
15. Privacy and Data
The Company's collection, use and disclosure of personal information are governed by its Privacy Policy. By using the Services, you consent to such practices as described in the Privacy Policy.
16. Governing Law and Dispute Resolution
These Terms shall be governed by the laws of the State of New York, without regard to its choice of law principles. Any dispute arising under or relating to these Terms shall be resolved by binding arbitration in New York County, New York, administered by the American Arbitration Association (AAA) under its rules. The arbitration award shall be final and binding, and judgment on the award may be entered in any court of competent jurisdiction.
17. Amendments
The Company may amend these Terms at any time by posting updated terms on tqtauc.com. Material changes will be communicated to registered users by email or a prominent notice.
18. Termination
The Company may suspend or terminate user accounts and access to the Services for violation of these Terms or for any conduct that the Company, in its sole discretion, believes is harmful to other users, third parties, or the Company.
